Warner Bros. Discovery gains as Paramount settles state lawsuits over its merger bid

Paramount’s owners made concessions to 12 Democratic state attorneys general to settle a lawsuit that had threatened its roughly $111 billion takeover bid for Warner Bros. Discovery.
The settlement includes a five-year, court-enforceable commitment to increase film output, at least $1.5 billion in additional domestic film-production spending, and a $47.5 million fund for workers affected by the merger.
California Attorney General Rob Bonta said the deal, which still needs judicial approval, is not an endorsement of the merger but a solution that protects competition and consumers.

California Attorney General Rob Bonta canceled settlement talks scheduled for Monday, accusing Paramount of leaking details of a prior meeting and negotiating in bad faith.
Bonta, who leads a 12-state coalition suing to block the merger, said he would meet again once Paramount “stops playing games and engages sincerely.”
Paramount denied being the source of the leaks.
The dispute follows Paramount’s request that the 12 states and the Writers Guild of America post a $1.9 billion bond to cover potential damages from the merger delay, including roughly $7 million in daily “ticking fees” owed to Warner Bros. Discovery shareholders.
